Inov Privé is a private members club ("the Club") that provides its members with curated access to premium experiences, exclusive events, a network of qualified partners and personalised concierge services across Portugal.

Access to the Club is restricted and subject to individual approval by our curation team. By applying for membership or making use of any Club service, you agree to be bound by these Terms and Conditions ("Terms").

These Terms apply to all categories of participants: Members, Partners and Concierge Professionals. Specific provisions applicable to each category are noted accordingly.

2.1 Membership is open to individuals aged 18 or over who meet the Club's curation criteria at the time of evaluation.

2.2 Applications are assessed individually by the Inov Privé curation team. Being placed on the waitlist does not constitute a guarantee or commitment of admission.

2.3 Admission is at the sole discretion of the Club. Inov Privé reserves the right to refuse any application without providing justification.

2.4 Membership may be granted through: direct application via the Club website; personal invitation from a current member; or referral and approval by a partner.

2.5 Applicants who misrepresent their professional background or intentions during the application process may be refused or have their membership revoked without refund.

3.1 Conduct and Discretion. Members agree to conduct themselves with discretion, professionalism and respect within the Club community at all times.

3.2 Confidentiality of Members. Members must not disclose the identity, contact information, personal or professional details of other members without their explicit consent.

3.3 Content and Communications. Members may not share, reproduce or distribute Club content, member directories, event invitations or communications without prior written authorisation from Inov Privé.

3.4 Non-Solicitation. Members may not use Club membership or events for unsolicited commercial prospecting, recruitment or marketing directed at other members, without prior approval.

3.5 Accuracy of Information. Members are responsible for keeping their profile information accurate and up to date.

3.6 Consequences. Violation of member obligations may result in immediate suspension or termination of membership, at the Club's discretion.

4.1 Membership is subject to an annual fee, which will be communicated to the applicant upon acceptance to the Club.

4.2 The annual fee is payable upon acceptance of admission and at the start of each subsequent membership year.

4.3 Membership fees are non-refundable once the membership is activated.

4.4 Members admitted from a waitlist or special intake cycle may be subject to specific pricing conditions communicated at the time of acceptance. Such conditions are binding for the agreed period.

4.5 Partner services and concierge arrangements accessed through the Club may carry additional fees, payable directly to the service provider. The Club does not mark up third-party services unless expressly stated.

4.6 The Club reserves the right to adjust annual membership fees with a minimum of 60 days advance notice to current members.

5.1 Inov Privé connects members with a curated network of partner companies across gastronomy, hospitality, wellness, real estate, mobility, art, finance, legal and lifestyle sectors.

5.2 The Club acts exclusively as a facilitator and is not a provider of partner services. All services are delivered directly by the partner under their own terms and conditions.

5.3 Inov Privé is not liable for the quality, safety, availability, pricing or outcome of any service provided by a partner company.

5.4 Partners agree to maintain the quality and discretion standards expected of a Club partner, and may be removed from the network for failure to do so.

5.5 Partners operate under a commission-based model as agreed with Inov Privé. Partners may not independently contact, solicit or engage Club members outside the Club's framework without prior consent.

6.1 Concierge services within the Club are provided by vetted independent professionals who have agreed to the Club's Confidentiality and Non-Disclosure Agreement.

6.2 Inov Privé coordinates concierge requests but is not itself the direct provider of the service. The Club acts as the liaison between members and concierge professionals.

6.3 The Club is not liable for the outcomes of concierge arrangements, unless loss or damage was directly caused by Inov Privé's own negligence or wilful misconduct.

6.4 Concierge professionals are bound by strict confidentiality obligations regarding member identities, requests and preferences. Any breach of confidentiality by a concierge is a matter handled directly between the concierge and Inov Privé.

7.1 All content, branding, visual identity, design elements, documentation and materials associated with Inov Privé are the exclusive intellectual property of the Club or its licensors.

7.2 Members, partners and concierges may not reproduce, distribute, adapt, modify, publicly display or use Inov Privé's intellectual property — including logo, name, or member content — without express prior written consent.

7.3 Any feedback, suggestions or content contributed by members to the Club may be used by Inov Privé without obligation of compensation.

8.1 Member-initiated termination. Members may terminate their membership at any time by providing 30 days written notice to the Club. No refund will be issued for the remaining membership period.

8.2 Club-initiated termination. Inov Privé reserves the right to suspend or permanently terminate any membership in the event of:

• Material breach of these Terms;
• Conduct that is harmful, disruptive or disrespectful to other members, partners or staff;
• Non-payment of membership fees;
• Provision of false or misleading information;
• Any behaviour deemed incompatible with the standards of the Club, at its sole discretion.

8.3 In cases of termination for cause, no refund of the membership fee will be issued.

8.4 Obligations of confidentiality and non-solicitation survive the termination of membership.

9.1 To the maximum extent permitted by applicable law, the total liability of Inov Privé arising from or in connection with these Terms shall not exceed the annual membership fee paid by the member in the relevant year.

9.2 The Club shall not be liable for any:

• Indirect, incidental, special or consequential losses;
• Loss of business opportunity, profit or revenue;
• Acts or omissions of third-party partners or concierges;
• Events of force majeure (natural disasters, government actions, pandemics, etc.);
• Technical failures, service interruptions or data loss.

9.3 Nothing in these Terms excludes liability for death or personal injury caused by gross negligence, or for fraud or fraudulent misrepresentation.

10.1 Inov Privé reserves the right to update or modify these Terms at any time. Material changes will be communicated to active members with at least 14 days advance notice by email.

10.2 Continued use of Club services following notification of a material change constitutes acceptance of the updated Terms.

10.3 The current version of these Terms will always be available at inovprive.com/terms.

11.1 These Terms and Conditions are governed by and construed in accordance with the laws of the Portuguese Republic.

11.2 Any dispute arising from or related to these Terms, including its interpretation, validity or performance, shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.

11.3 Where eligible, the parties may refer disputes to arbitration in accordance with Portuguese arbitration law before initiating court proceedings.
